Direct investment legislation

The core legislation governing direct investments into Romania is the Ordinance on direct investments (Government Ordinance 92/1997), establishing the rights of investors and the incentives available. However, the Budget Law for 1999 has suspended the fiscal incentives provided in this ordinance (see Chapter VIII).

Foreign business entities
The forms of business most commonly used by foreign investors are the limited liability company (SRL), the joint stock company (SA) and the branch (of a foreign parent company). Romanian authorities however, are not well versed in branch operations.

Representative offices are often used as a market entry technique allowing for an assessment of existing opportunities before committing financially to setting up a company or establishing a joint venture, possibly with a former state enterprise that is undergoing privatisation.
